*Alcea Surrogacy, L.L.C (the “Agency”) shall pay the Referrer for each successful Surrogate Referral, where a successful Surrogate Referral is defined as a referral who executes her legal Gestational Carrier Agreement (or Gestational Surrogacy Agreement) in a surrogacy arrangement with Intended Parents matched through and/or facilitated by the Agency. Payment to the Referrer for each successful Surrogate Referral are also subject to the following terms:
a) the Referrer must not have previously referred Surrogate Referral to another surrogacy agency or competing company; and
b) the Referral Fee paid to the Referrer shall only be paid once. If Surrogate Referral is rematched or undergoes another journey with the Agency following her first journey, the Referrer is not and will not be owed any additional payments of Referral Fee; and
c) the Referrer must introduce the Surrogate Referral and assert the Surrogate Referral as her own referral prior to the execution of her Gestational Carrier Agreement (or Gestational Surrogacy Agreement) in order to qualify for this program. No Referral Fee shall be paid if referrer attempts to alert the Agency that Surrogate Referral is her referral following the executed Gestational Carrier Agreement (or Gestational Surrogacy Agreement).
The Agency shall pay the the Referrer a Referral Fee of either Five Thousand Dollars ($5,000.00) for each successful Surrogate Referral whose state of residence is New York or California or Three Thousand Dollars ($3,000.00) for each successful Surrogate Referral whose state of residence is that of any other state. For each unsuccessful referral, where an unsuccessful referral is defined as a valid or invalid referral candidate that does not execute a Gestational Carrier Agreement (or Gestational Surrogacy Agreement) in a surrogacy arrangement with Intended Parents matched through and facilitated by the Agency, no Referral Fee shall be owed to the Referrer under the terms of this program, unless otherwise decided at the discretion of the Agency. The Agency shall pay the Affiliate within Thirty (30) days of a completed successful referral, where a completed successful referral will be the notification to the Agency of the Surrogate Referral’s fully executed Gestational Carrier Agreement (or Gestational Surrogacy Agreement).
